General Terms & Conditions of Sale

These Terms & Conditions of Sale ("Terms") govern all sales and supply of electronic passive components (including hot-pressed molded power inductors) provided by Synyon Technology (Shenzhen) Co., Ltd. Longgang Branch ("Seller") to the purchaser ("Buyer").

1. Scope & Acceptance

Any purchase order placed by Buyer constitutes acceptance of these Terms. Any conflicting terms proposed by Buyer are expressly rejected unless confirmed in writing by Seller's authorized representative.

2. Quotations & Pricing

Written quotations remain valid for 30 days unless otherwise specified. Prices are based on agreed delivery terms (e.g., EXW, FOB, or CIF per Incoterms 2020) and exclude taxes, duties, and freight unless explicitly stated.

3. Orders & Cancellation

Confirmed orders cannot be cancelled or rescheduled without Seller's written consent. Custom-designed inductors and specialized tape-and-reel packages are strictly non-cancellable and non-returnable (NCNR).

4. Quality & Warranty

Seller warrants that products conform to Seller's published specifications and datasheets at the time of delivery. All products comply with RoHS and Halogen-Free directives. The warranty period is 12 months from delivery. Seller's sole liability under warranty is limited to repair, replacement, or refund of defective products.

5. Intellectual Property

All intellectual property rights relating to material formulations, structural tooling, coil winding techniques, and product designs remain the exclusive property of Seller.

6. Export Compliance & Governing Law

Both parties shall comply with all applicable export control and trade compliance laws. These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
